CIERANT AHIP 2015 NATIONAL CONFERENCES ON MEDICARE AND MEDICAID SWEEPSTAKES (“SWEEPSTAKES”)

THIS SWEEPSTAKES IS INTENDED FOR PLAY IN THE U.S./D.C. AND WILL BE GOVERNED BY U.S. LAW. DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED IN AN ELIGIBLE AREA AT THE TIME OF ENTRY. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT ENHANCE CHANCES OF WINNING. Eligibility: Open to all legal U.S. residents who are attendees of the AHIP 2015 NATIONAL CONFERENCES ON MEDICARE AND MEDICAID and are 18 years of age or older at the time of entry. Employees, officers and directors (and their immediate families [spouse, children, parents, siblings] and those living in their same households [whether or not related]) of Cierant Corporation (“Sponsor”), and any of its parent, subsidiary, and affiliated companies, advertising, promotion, or production agencies and Web masters/suppliers are not eligible to participate. Void where prohibited. By participating, entrants agree to these Official Rules, which are final and binding in all respects. 2. Promotional Period: The Sweepstakes begins at 12:00:00 a.m. EDT on 10/14/2015 and ends at 6:00 p.m. EDT on 10/21/2015 (“Promotional Period”). 3. How to Enter: Sweepstakes participants must either enter online at www.cierant.com/ahip2015 or visit the Cierant Booth at the AHIP 2015 NATIONAL CONFERENCES ON MEDICARE AND MEDICAID located at the JW Marriott in Washington, DC, during the event exhibit hours and within the scheduled time for the Sweepstakes, and deposit their completed sweepstakes entry form into the entry jar. Limit one (1) entry per person/email address regardless of the method of entry. Any attempt to submit more than one (1) entry using multiple/different identities or any other methods may void that participant’s entry. Entries generated by robotic, programmed, script, macro or other automated means will be disqualified. Should multiple users of the same e-mail account enter the Sweepstakes and a dispute thereafter arise regarding the identity of the entrant, the authorized account subscriber of said e-mail account at the time of entry will be considered the entrant. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. 4. Drawing: Potential winners will be selected in a random drawing to be held two times on 10/19/2015 at 6:00 PM EDT, and two times on 10/21/2015 at 6:00 PM EDT from among all eligible entries received. The winner will be notified using the supplied contact information and must pick up the prize before the close of the AHIP 2015 NATIONAL CONFERENCES ON MEDICARE AND MEDICAID at 2:00 PM EDT on 10/22/2015. All drawing decisions are final and binding in all matters relating to this Sweepstakes. If the winner does not pick up their prize by the close of the AHIP 2015 NATIONAL CONFERENCES ON MEDICARE AND MEDICAID, Cierant at its sole discretion may elect to mail the prize to the user at the address supplied on the entry form. If Cierant is unsuccessful at delivering the prize within 30 days, Cierant, at its sole discretion, may elect to draw a new winner from the remaining entries and award the prize to the new winner. 5. Four (4) Prizes/Odds: Mophie Power Stations will be awarded, with Approximate Retail Value (“ARV”): $49.99 each. Odds of winning depend on the number of eligible entries received. Taxes on prize are the sole responsibility of the winner. Unclaimed prizes may not be awarded. Total ARV: $199.96 .6. General Conditions: As a condition of entering, participants agree (a) that Sponsor, its parent, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents are released, will have no liability whatsoever for, and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of a prize or participation in this Sweepstakes or any Sweepstakes-related activities; (b) under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. Except where legally prohibited, winners grant (and agree to confirm that grant in writing) permission to Sponsor and those acting under its authority the right to the use of his/her name, picture, likeness, voice, biographical information and statements, at any time or times, for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet and World Wide Web, without notice, review or approval. Potential winners may be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release, within fourteen (14) days of attempted notification or prize may be forfeited. If documents are not returned timely, or if the prize notification or prize is returned as non-deliverable, or if a winner is found to be ineligible or otherwise not in compliance with these Official Rules, prize may be forfeited. 7. Limitations of Liability: Neither Sponsor nor its agencies are responsible for lost, illegible, late, misdirected, incomplete, mutilated, or non-delivered mail, entries or email; or for interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Web site, telephone or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical failure or jumbled, garbled, corrupted, scrambled, delayed, or misdirected transmissions, or computer hardware or software or telephone malfunctions, failures, or technical errors or difficulties, or other errors of any kind. Neither Sponsor nor its agencies are responsible for any incorrect or inaccurate information, whether caused by Web site users, or by any equipment or programming associated with or utilized in this Sweepstakes; and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of the Web site. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with entry process or operation of Sweepstakes or to be acting in a non-sportsmanlike or disruptive manner, or with intent to threaten, abuse or harass any other person. If, for any reason, Sweepstakes, in the sole opinion of Sponsor, is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures or any other causes which, in sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend Sweepstakes, and randomly award the prizes from among eligible entries received prior to action taken, or as otherwise deemed fair and equitable by Sponsor. Governing Law: By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Connecticut, USA, without giving effect to any choice of law or conflict of law rules. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Fairfield County, Connecticut, USA. 9.
